Strive Closes $630 Million SATS Offering With A 15% Dividend Rate

Strive completed the initial offering of its SATS preferred stock on October 20, selling seven million shares at $90 each. The company’s closing announcement confirms the financing has moved beyond the pricing stage, with gross proceeds of $630 million before fees and expenses.

TL;DR: The offering gives Strive additional funding flexibility. Its fixed dividend terms also create a continuing claim on the company’s resources.

SATS carries a cumulative annual dividend rate of 15% on a $100 stated amount per share. Payments remain subject to board declaration and legally available funds. The company scheduled regular business-day dividend payments to begin November 9, with the first payment, if declared in full, including accumulated dividends since closing.

The financing is not a Bitcoin purchase confirmation

Strive’s October 15 pricing announcement listed several intended uses for the net proceeds. They included Bitcoin and related products, working capital, income-producing assets, acquisitions and repurchases of common stock or its existing SATA preferred shares.

That flexibility prevents treating the full headline amount as immediate demand for Bitcoin. Capital can be raised before management decides exactly when and how to deploy it. A subsequent holdings disclosure would be needed to establish any resulting BTC purchases.

The pricing release also said Strive intended to increase its dividend reserve by the equivalent of $22.50 for each SATS share, using existing cash and securities. At the announced share count, that planned addition is $157.5 million. The reserve intention is separate from the gross proceeds figure.

A fixed rate still depends on the issuer

The final prospectus lists $21 million in underwriting discounts and commissions, leaving $609 million before other expenses. It places SATS below SATA and future debt in the payment hierarchy, but above common shares.

The prospectus also warns that Strive can lack sufficient cash to pay dividends or choose not to declare them. Cumulative treatment means dividends accumulate under the terms; it does not make each scheduled cash payment unconditional. A preferred share’s market price can also move as interest rates and perceptions of the issuer change.

The stated terms imply $15 in annual dividends per share, or $105 million across the initial issue, assuming the full annual amount is declared and paid. Relative to the $90 issue price, that is approximately 16.7% before taxes and price movements. It is a calculation from offering terms, not a forecast return.

For a Bitcoin treasury business, this creates a recurring funding challenge: capital raised today must support both the asset strategy and future distributions. Whether the financing improves common shareholders’ position will depend on deployment returns and cash management, rather than the size of the offering alone.
