NIP Group Signs Deal For 4.47 EH/s Of Bitcoin Mining Capacity

NIP Group has agreed to acquire Bitcoin mining machines with approximately 4.47 exahashes per second of computing capacity, according to its October 20 announcement. The hardware is already operating at hosting facilities, but its contribution to NIP’s production depends on closing.

TL;DR: The third acquisition tranche would expand NIP’s mining footprint through newly issued shares. Forecast capacity and Bitcoin output remain subject to completion and operating conditions.

The agreement, dated September 24, provides for up to 247,091,740 Class A ordinary shares as consideration. NIP forecasts roughly 13.85 EH/s across all three tranches and about 195 BTC a month at full deployment. Closing is expected within ten business days after conditions are satisfied.

Share-funded growth has a cost per shareholder

Using equity to acquire working machines can preserve cash for hosting and other expenses. It also spreads the economic interest in the expanded business across more shares. Higher aggregate Bitcoin production therefore does not automatically translate into more production attributable to each existing share.

NIP has used this structure before. A June 2 regulatory filing disclosed that a May amendment replaced planned convertible notes for remaining second-tranche closings with ordinary shares. The company issued 62,579,674 shares at a May 29 closing, following an earlier issuance in January.

The distinction between ordinary shares and Nasdaq-traded depositary shares also matters. NIP’s July ratio-change announcement set one American depositary share to represent 60 Class A ordinary shares from July 6, replacing the previous two-share ratio. The new acquisition’s share figure is stated in ordinary shares.

Raw share counts from different disclosures consequently need consistent units before comparisons are made. The economic questions are how much ownership is issued, what equipment is received and whether the resulting operating cash flow justifies that exchange.

Installed machines and realised output are different measures

NIP’s January 15 operating update reported 151.4 BTC produced by its first-tranche fleet during September–November 2025. That was a historical production result from an initial operating period, not evidence that the latest monthly forecast has been achieved.

Hashrate measures computing power. It does not fix the number of bitcoin a miner will receive: competitors’ capacity, network difficulty, uptime and operating arrangements affect output. A machine already installed at a host can reduce deployment work, while still bringing electricity and hosting costs to its new owner.

A useful follow-up would reconcile the acquired machines with average operating hashrate, actual coin production and the additional share count. Those measures would show whether the expansion improves the business at the shareholder level, beyond the increase in headline capacity.
